ONLINE RETREAT AGREEMENT: “NOW SHE HEALS”
This Agreement (“Agreement”) sets forth the terms and conditions between Manifesting Mindset Co. Pty Ltd (“MMC”, “we”, “us”, or “the Company”) and the purchaser (“you” or “the Client”) for participation in the “Now She Heals” Online Healing Retreat (“the Program”).
By completing your purchase, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
- The Program
1.1 The “Now She Heals” Online Healing Retreat (“the Program”) is a four-week digital retreat designed to provide educational and mindset support for women navigating chronic illness. It includes:
- four weekly modules released progressively (one per week);
- an introductory welcome module, foundation module and bonus content;
- each weekly module will contain three one-hour sessions (approximately)
- each hour-session will include video content and reflection exercises
- access to all digital content and Program materials for four months after initial purchase of the product/Program.
- access to the “Now She Heals” online community for four months after initial purchase of the product/Program.
1.2 Access to weekly live group support calls. These calls may be hosted via an appropriate digital video conferencing medium such as Zoom or the community platform (e.g., Kajabi), and are in addition to program modules outlined in 1.1.
1.3 Recording and Use of Content
All live group calls may be recorded and stored within the Program platform. By participating in any live session, you:
- consent to the recording of your voice, image, likeness, and any contributions made;
- grant MMC an irrevocable, worldwide, royalty-free, perpetual license to use, reproduce, and distribute such recordings for educational and Program-related purposes;
- acknowledge that recordings may be made available to current and future Program participants;
- waive any right to inspect, approve, or receive compensation for such recordings;
- acknowledge that any personal, medical, or sensitive information you voluntarily share may be included in such recordings; and
- accept full responsibility for any information you choose to disclose and agree that MMC is not responsible for how such information is shared or interpreted within the Program.
1.4 In the event, the product/Program is discontinued, participants will continue to have access to the digital content, materials and online community for four months after initial purchase of the product/Program.
1.5 Account Access and Security
Access to the Program is granted to you individually. You agree not to share your login details, provide access to any third party, or allow multiple users to access the Program through your account. MMC reserves the right to suspend or terminate access without notice if unauthorized sharing or misuse is suspected.
1.6 MMC reserves the right to modify, reschedule, or replace any aspect of the Program, including live calls, content, or delivery format, where reasonably necessary.
- Payment and Access
2.1 Payment options include either:
- full payment at checkout; or
- an installment plan (up to four monthly payments).
2.2 All pricing and payment details are displayed on the checkout page at the time of purchase and may be updated from time to time. All fees are processed through approved payment platforms (e.g., Kajabi, PayPal, or credit card).
2.3 Access to the Program will be suspended or revoked if payments fail or remain outstanding.
2.4 You agree not to initiate any chargeback or payment dispute without first contacting MMC in writing to attempt resolution. Initiating a chargeback without prior contact may be considered a breach of this Agreement.
- Refund Policy
3.1 If you are not satisfied with the Program within 14 days of the date of initial purchase of the Program then, subject to the requirements below, MMC will provide you with a full refund of your purchase price.
3.2 To be eligible for a refund, you must:
- submit a written request within 14 days of initial purchase; and
- provide evidence of genuine participation, including attendance at a minimum of two live group calls or viewing of the corresponding recordings in full; and completion of at least two Program modules, and all associated exercises.
3.3 Eligibility for a refund will be determined by MMC acting reasonably, based on available participation data, attendance records, submitted materials, and platform activity.
3.4 Approved refunds will be processed back via the original payment method within 30 days.
- Intellectual Property
4.1 All Program content — including videos, audio files, PDFs, written materials, community discussions, bonus modules, and live videoconference or recorded calls — are the intellectual property of MMC and are protected by copyright law.
4.2 You are granted a limited, non-exclusive, non-transferable license to access and use the Program materials for your own personal, non-commercial purposes only.
4.3 You agree not to record, reproduce, share, sell, or distribute any part of the Program materials or content or live calls without prior written consent from MMC.
- Community Guidelines
5.1 The community guidelines are outlined in the Welcome Module and accompanying video and you agree to abide by these guidelines. In particular, you agree to maintain a respectful, supportive, and judgment-free environment within the Program community and any videoconferences or calls made as part of the Program.
5.2 You must not:
- Provide or solicit medical advice from other Program participants;
- Promote or sell external services, offers, or products to the Program participants; or
- Engage in disrespectful, harassing, or harmful behavior toward others.
5.3 MMC reserves the right to terminate the Agreement and to remove any participant who violates these community guidelines without notice or refund.
5.4 By participating in the community, you agree that any comments, feedback, reviews may be shared anonymously as part of marketing materials, and you waive any right to compensation or approval in relation to such use.
5.5 You acknowledge that any information shared by other participants is not endorsed, verified, or approved by MMC, and you agree not to rely on such information as professional advice.
- Disclaimer
6.1 The Program provides educational and mindset support only and is not a substitute for professional medical advice, diagnosis, or treatment.
6.2 MMC and its representatives are not medical professionals, counselors, or licensed therapists, and participation in the Program does not create any medical, therapeutic, or counseling relationship.
6.3 You are solely responsible for your physical, emotional, and mental wellbeing, and for any decisions or actions you take based on the Program content.
6.4 You acknowledge that participation in the Program may involve emotional, psychological, and physical responses, and you voluntarily assume all risks associated with your participation, including any discomfort, distress, or adverse reactions.
6.5 If you experience emotional distress or trauma during participation, you agree to stop immediately and seek appropriate professional care.
6.6 MMC makes no guarantees, representations, or warranties regarding any specific outcomes or results from participation in the Program.
6.7 You acknowledge that results will vary from person to person and are influenced by factors outside MMC’s control, including individual circumstances, consistency, and external factors.
6.8 You confirm that you are not relying on any statements, representations, or guarantees made by MMC regarding outcomes when entering into this Agreement.
6.9 You acknowledge that the Program may not be suitable for all individuals or conditions, and you are responsible for determining whether participation is appropriate for you.
- Termination
7.1 MMC reserves the right to terminate the Agreement and revoke your access to the Program and/or community — without refund — if you:
- breach community guidelines;
- breach this Agreement;
- engage in unethical or inappropriate behavior; or
- fail to make required payments.
- Indemnity
8.1 You agree to indemnify, defend, and hold harmless MMC, its directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or in connection with:
- any information, advice, or content you share with other participants;
- your misuse of the Program or its materials; or
- your breach of this Agreement.
- Limitation of Liability
9.1 To the fullest extent permitted by law, MMC disclaims all liability for any loss, injury, or damage, whether direct or indirect, arising out of or in connection with your participation in the Program, including but not limited to physical, emotional, psychological, or financial loss.
9.2 You acknowledge that MMC is not liable for any decisions you make, actions you take, or outcomes you experience as a result of participating in the Program.
9.3 To the fullest extent permitted by law, MMC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of income, loss of opportunity, loss of data, or loss of business.
9.4 The total aggregate liability of MMC for any claim arising out of or in connection with this Agreement or the Program shall not exceed the total amount paid by you for the Program.
9.5 Nothing in this Agreement excludes, restricts, or modifies any rights you may have under applicable consumer protection laws that cannot be lawfully excluded.
9.6 To the extent permitted by law, any claim arising out of or in connection with this Agreement or the Program must be brought within six (6) months of the event giving rise to the claim.
- Governing Law and Jurisdiction
10.1 This Agreement is governed by and construed in accordance with the laws of New South Wales, Australia.
10.2 You agree to submit to the exclusive jurisdiction of the courts of New South Wales, Australia, in relation to any dispute arising out of or in connection with this Agreement or the Program.
10.3 You waive any right to commence or participate in any claim, action, or proceeding in any jurisdiction other than New South Wales, Australia, to the fullest extent permitted by law.
10.4 You waive any objection based on jurisdiction, venue, or forum non conveniens in respect of proceedings brought in the courts of New South Wales, Australia.
- Entire Agreement
11.1 This Agreement constitutes the entire agreement between MMC and the Client in relation to the Program and supersedes all prior or contemporaneous communications, representations, negotiations, or agreements, whether oral or written.
11.2 You acknowledge that you have not relied on any statement, representation, or warranty made by MMC or any third party that is not expressly set out in this Agreement.
11.3 Any variation to this Agreement must be made in writing and approved by MMC.
11.4 If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
- Technology Disclaimer and Force Majeure
12.1 MMC is not responsible for any inability to access the Program due to internet issues, device incompatibility, platform outages, or technical failures.
12.2 MMC shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to illness, natural disasters, platform outages, or government restrictions.
By completing your purchase of the Program, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.
